Tracey heads MBM Commercial’s Corporate and US Teams.

Tracey has over 25 years of experience as a corporate and business lawyer in the UK and the US, as an attorney and active member of the State Bar of California as a well as a Scottish solicitor. Having lived and worked in California for 14 years before joining MBM, Tracey retains strong links with her US network and is well-versed in advising on the corporate and regulatory environment in both jurisdictions.

Tracey’s practice focuses on M+A and equity investments with a speciality in advising on US transactions. The US team supports businesses as they expand in the US, from initial set up to investment and subsequently to exit.

Tracey’s key clients include fast growth technology companies and UK businesses with US operations that span all sectors and deal sizes. She has had a lead role in several prominent sales to US buyers, such as the sale of a large UK and US e-commerce business to a US PE buyer and the sale to a US corporate buyer of a privately held medical device manufacturer. Other interesting deals include advising on “Delaware flips” to facilitate US investment and growth for UK businesses.

Over her years of practice, Tracey has developed significant deal experience. She provides training on exit readiness for Scottish Enterprise and its cohort of high growth companies and brings valuable knowledge and perspective to cross-border transactions and advising clients as they expand overseas.

  • Advising the sellers on the sale to a US corporate buyer of Safe Obstetric Systems, a privately held manufacturer of the medical device, Fetal Pillow®

  • Advising Container Solutions on a minority investment from Growth Capital Partners

  • Advising FundAdminChain on its sale of a majority stake to Apex Group Ltd

  • Advising Travelnest including significant investment from Scottish National Investment Bank and others

  • Advising Amati Global Investors on their £3m investment into Chorus Intelligence Ltd

  • Advising Evotix on a £3 million growth capital investment from NVM Private Equity, its first outside venture equity.

  • Advising various start up and growth technology and life science companies in relation to equity fundraisings, including SEIS and EIS investments

  • Advising the sellers on the £4 million sale of a privately owned biotech business to a substantial national trade buyer.

  • Represented the management team of an international consumer products business in the $100 million sale to a strategic buyer, working closely with the management team to guide them through detailed negotiations.
