Where companies fail to file their annual accounts and/or their Confirmation Statement on time, the Registrar (after a couple of reminders) will commence strike off action against them and a notice to this effect is published in the Gazette.
Due to the Coronavirus outbreak, Companies House has agreed not to publish this notice, but continue to write to companies to encourage them to bring their records up to date.
Furthermore, where companies apply themselves to be struck off, a Gazette notice will still be published, but Companies House has agreed to suspend any further action to strike off to protect creditors and any other interested parties who may wish to object to a company being struck off.
These are both temporary measures and will be reviewed periodically throughout the crisis. It is not clear how and when Companies House will begin to revert to a more stringent regime and so timely filing remains important to avoid any striking off action further down the line.
Our Company Secretarial Service is designed to alleviate our clients’ worries about their compliance obligations under the Companies Act, thereby enabling them to concentrate fully on building and promoting their business. The service includes the preparation and filing of the Confirmation Statement and provides timely reminders about the filing of the annual accounts (if your company is dormant, we can even produce and file them for you).
