Nicola Williams

Nicola is Senior Tax Consultant and can advise on the EIS advice and tax legal consultancy elements of investments.

She regularly advises various angel syndicates, as well as other individuals, investing in start-ups and scale-ups. She provides advice and assistance where there is a need to review and negotiate tax deeds and warranties.

Nicola qualified in New Zealand as a barrister and solicitor. After time with the New Zealand Inland Revenue, she moved to the UK and worked as a corporate solicitor with a specialism in tax, with particular focus on the tax aspects of exits, and of private equity investment.

Nicola specialises in providing tax advice to entrepreneurs, angel syndicates and sellers of companies on transactions such as: · Enterprise Investment Scheme (EIS), SEIS and VCT investments into start up or scale up companies. · Advice to various angel syndicates on EIS issues arising in the life cycle of companies. · M&A transactions, including drafting and negotiation of tax deeds and warranties. · Management Teams’ tax issues e.g. on rolling over into a buyer-vehicle and Entrepreneurs’ Relief. · Restructurings of groups and share buy backs, including seeking clearances from HMRC. · EMI options, and other share incentives.

As well as day to day advisory work, Nicola has also been involved in speaking on tax matters as part of the Investment Masterclasses for Scottish Enterprise and its cohort intakes of high growth companies, providing seminars for third party lawyers on tax issues in corporate deals and presenting on key issues in EIS to the Edinburgh Tax Network. Nicola is also a member of the Law Society of Scotland’s Tax policy committee.

Personal biography

Nicola enjoys experimental cooking (though not always eating the results!), playing frisbee and tennis, and landscape painting.
