Ross McGregor

Ross’ main role within the partnership is to service the firm’s company secretarial clients. Our Company Secretarial Service is designed to alleviate clients’ worries about their compliance obligations under the Companies Acts, thereby enabling them to concentrate fully on building and promoting their business. This involves maintaining the statutory registers for over 300 companies and preparing and filing annual Confirmation Statements, together with all other key day-to-day forms.

As well as incorporating new companies, including companies limited by guarantee, private limited companies and Community Interest Companies, Ross assists the Corporate Team on nearly every single transaction, drafting minutes, stock transfer forms, share certificate etc. 

Despite there being no statutory requirement for private companies to appoint company secretaries, all the functions traditionally carried out by a company secretary are still required to be carried out. Additionally, companies with only one director will often require a second signature on legal documentation (e.g. when you open a bank account). If you do not appoint a company secretary this documentation will need to be signed by an appointed witness, so a large proportion of companies still opt to appoint one.

Personal Biography

Ross is currently Honorary Secretary of Murrayfield Indoor Sports Club, a private members club based on the west side of Edinburgh, and has been for over 13 years! Ross describes this role at the club as having no set hours and he can often be dealing with club matters seven days a week! The club is best known for its tenpin bowling and Ross has spent countless nights in the Club trying to replicate his high score of 257…and failing!

Ross also has a passion for animals and holidays and tries to combine the two with visits to zoos, safaris and wildlife refuges whenever he is abroad.
