Since it was set up in 2005 MBM has been a key player in the UK venture capital and angel investment ecology. Whether acting for companies receiving investment or a range of VC and angel investors, early stage investment is at the very heart of MBM’s corporate practice.
Increased levels of activity, including corporate venturing, has meant that this has remained one of our most active areas, with our transactional experience eclipsing other firms many times our size.
The scope of our client base means that our lawyers have to be able to execute seed investments cost efficiently one minute, and switch to full commercial diligence and Series B investment terms the next.
We place a huge value on our connections to the early stage investment communities in cities like London, Edinburgh and Manchester and work very hard at making connections and introductions within those communities to ensure that great companies find smart money.
Our intuitive understanding of the concerns that founder teams and experienced investors all have mean that we can anticipate issues and proactively manage deals to achieve a flying start for any new investment. Our experience with a huge range of co-investors allows us to focus on what is important to all concerned and help tackle some of the more emotive issues, such as leaver provisions, head on.
In an ecology that is always growing and has nurtured new developments like crowdfunding and social impact investment, there is always something new to learn but the fundamental principles of good investment practice remain the same.
For seed investments, we have created our own bespoke set of early stage investment documents which are accessible here. We have played a part in developing the UKBAA’s standard investment documents and we are very familiar with all sorts of venture capital documents and bespoke issues for VCT’s.
Many of the investment deals that we work on relate to technology and intellectual property (IP) rich companies and we have a dedicated IP team who work closely with our corporate team on these investment transactions. This IP support includes an accredited IP specialist, a US attorney, a trademark attorney and several patent attorneys. This allows us to add real value, beyond expected legal input, when it comes to specific technical due diligence issues involving patent and trademark portfolios and issues around freedom to operate where our trademark and patent attorneys can help.
